By accessing and using Chat Real World Experts, you accept and agree to be bound by these Terms of Service.

2. Service Description

Chat Real World Experts ("ChatRWE", "we", "us", "our") provides an online platform that connects:

Seekers: Individuals or businesses who submit AI ideas for validation and feedback
Validators: Vetted experts who provide honest, actionable feedback on submitted ideas
Admins: Platform administrators who manage submissions, validators and platform operations

Our services include:

Idea submission and matching with appropriate validators
Review process management and quality assurance
Payment processing for submissions and validator earnings
Tax form generation and filing (T4A for Canada, 1099-NEC for US)
Dashboard access for seekers, validators and admins
Email notifications and communication tools

3. User Responsibilities and Conduct

As a user of our platform, you agree to:

Accurate Information: Provide accurate, current and complete information when creating an account or submitting content
Account Security: Maintain the security of your account credentials and notify us immediately of any unauthorized access
Prohibited Content: Not submit ideas, reviews, or content that:
- Is illegal, harmful, threatening, abusive, or violates any laws
- Infringes on intellectual property rights, privacy rights, or other rights of others
- Contains malware, viruses, or other harmful code
- Is spam, fraudulent, or misleading
- Contains hate speech, discrimination, or harassment
System Integrity: Not attempt to game, manipulate, or interfere with the review system, payment system, or platform operations
Respect Others: Treat all users (seekers, validators, admins) with respect and professionalism
Compliance: Comply with all applicable laws, regulations and these Terms of Service
Age Requirement: Be at least 18 years old to use our platform

Violation of these responsibilities may result in suspension or termination of your account.

4. Validator Responsibilities and Obligations

As a validator, you agree to:

Quality Reviews: Provide honest, constructive and actionable feedback based on your expertise and experience
Timeliness: Complete reviews within the agreed timeframe (typically 24-48 hours from assignment)
Confidentiality: Maintain strict confidentiality of submitted ideas and not disclose them to third parties
No Misappropriation: Not use, copy, or claim ownership of submitted ideas for your own benefit or projects
Professionalism: Maintain professional standards in all communications and reviews
Accurate Information: Provide accurate information about your expertise, background and qualifications
Tax Compliance: Provide accurate tax information (SIN/SSN, address) for tax form generation and comply with tax obligations
Availability: Maintain reasonable availability to accept and complete review assignments
No Conflicts: Disclose any potential conflicts of interest when reviewing ideas
Rating System: Accept that seekers may rate your reviews and ratings may affect your validator status

Validators who fail to meet these responsibilities may have their validator status revoked and may forfeit pending earnings.

5. Payments, Fees and Refunds

Submission Fees:

Each idea submission requires payment of $29 USD (or equivalent in your local currency)
Payment is processed securely through Stripe at the time of submission
Submission fees are generally non-refundable once payment is processed
We offer a 90% money-back guarantee if you are unsatisfied with the quality of a review. Refund requests must be made within 7 days of receiving the review
Refunds are processed to the original payment method within 5-10 business days

Validator Earnings:

Validators earn a percentage of each submission fee for completed reviews
Earnings are calculated and tracked in your validator dashboard
Earnings are subject to tax reporting requirements (T4A for Canada, 1099-NEC for US)
Payment schedules and methods will be communicated separately to validators
Earnings may be withheld if reviews are found to violate our terms or quality standards

Tax Obligations:

Validators are responsible for reporting earnings and paying applicable taxes
We generate and file tax forms (T4A/1099-NEC) as required by law
Validators must provide accurate tax information for form generation
Tax forms are typically generated and filed by the applicable deadlines (February 28 for T4A, January 31 for 1099-NEC)

6. Intellectual Property Rights

Seeker Content (Idea Submissions):

Ideas, descriptions and content you submit remain your intellectual property
By submitting content, you grant us a license to use, display and share it with assigned validators for review purposes
You retain all rights to your ideas and may use them for any purpose
We do not claim ownership of your submitted ideas

Validator Content (Reviews):

Reviews and feedback you provide as a validator become part of the platform's content
By submitting a review, you grant us a perpetual, non-exclusive license to display, use and distribute your reviews
Reviews may be displayed to seekers and may be used for platform improvement and marketing purposes
Validators may not claim ownership of ideas they review
Validators may not use submitted ideas for their own projects without explicit permission from the seeker

Platform Content:

All platform design, code, logos and branding are owned by Chat Real World Experts
You may not copy, modify, or distribute platform content without our written permission

7. Disclaimers and Limitation of Liability

Service Disclaimer:

Chat Real World Experts provides the platform "as is" and "as available" without warranties of any kind
We do not guarantee the accuracy, quality, completeness, or usefulness of validator reviews
We are not responsible for decisions made based on validator feedback
We do not guarantee that your idea will be successful, profitable, or viable based on reviews
Validator expertise and qualifications are self-reported and we do not independently verify all claims

Limitation of Liability:

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability for any claims related to our services is limited to the amount you paid for the specific submission in question
We are not liable for any loss of data, profits, business opportunities, or other intangible losses
We are not responsible for the actions, content, or conduct of validators or other users
We are not liable for any issues arising from third-party services (Stripe, Supabase, Resend, etc.)

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

8. Account Termination and Suspension

Termination by You:

You may delete your account at any time through our Data Rights Portal
Upon account deletion, your personal data will be anonymized or deleted subject to legal retention requirements
Pending submissions or reviews may be completed before account deletion takes effect

Termination by Us:

We reserve the right to suspend or terminate accounts that violate these Terms of Service
We may suspend or terminate accounts for:
- Fraudulent activity or payment disputes
- Violation of user responsibilities or prohibited content policies
- Abuse of the platform, review system, or other users
- Repeated low-quality reviews (for validators)
- Failure to complete reviews within agreed timeframes (for validators)
- Any activity that harms the platform or other users
We may suspend accounts pending investigation of potential violations
Terminated accounts may forfeit pending earnings or refunds

Upon termination, your right to use the platform immediately ceases. We may retain certain information as required by law or for legitimate business purposes.

9. Dispute Resolution

Informal Resolution:

If you have a dispute with us or another user, we encourage you to contact us first to attempt to resolve it informally.

Binding Arbitration:

For disputes that cannot be resolved informally, you agree to resolve disputes through binding arbitration rather than in court, except for small claims court matters. Arbitration will be conducted in accordance with applicable arbitration rules.

Class Action Waiver:

You agree not to participate in class action lawsuits or class-wide arbitrations against us.

10. Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes will be resolved in the appropriate jurisdiction based on your location and applicable law.

11. Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. We will:

Post the updated terms on this page with a new "Last updated" date
Notify users of material changes via email or platform notifications when possible
Provide a reasonable period for you to review changes before they take effect

Continued use of the platform after changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using the platform and may delete your account.

12. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Chat Real World Experts regarding your use of the platform and supersede all prior agreements and understandings.
